WorkHorse Payments Terms of Service and Payment Authorization

These Terms of Service and Payment Authorization (“Terms”) apply when you use the WorkHorse payment page to make a payment to the company identified on your invoice or payment page (“Merchant”).
WorkHorse Investments, LLC, doing business as WorkHorse Service Company Software (“WorkHorse”), provides the technology used by the Merchant to accept payments, maintain customer account information, and apply payments to invoices. WorkHorse is not the provider of the products or services for which you are paying.

1. Authorization to Process Your Payment
By clicking Pay Now, you:

  • Confirm that the payment information you provided is accurate;
  • Confirm that you are authorized to use the selected credit card, debit card, or bank account;
  • Authorize the Merchant, WorkHorse, and the applicable third-party payment processor to process the payment amount shown on the payment page;
  • Authorize the payment to be applied to the invoice or account identified on the payment page; and
  • Agree to these Terms.

For an ACH payment, you authorize an electronic debit from the bank account you provided for the amount displayed before you submit the payment. This authorization applies only to the payment you are submitting unless you separately enroll in automatic or recurring payments.

2. Payment Processing
Payments submitted through WorkHorse are processed by a third-party payment processor. The processor may communicate with your bank, card issuer, card network, or other financial institution to authorize and settle the transaction.
Submission of a payment does not guarantee that the payment will be approved. A payment may be declined, delayed, reversed, or returned by your financial institution or the payment processor.
WorkHorse may receive and maintain transaction information, a token representing your payment method, and limited payment details necessary to operate the payment service, maintain transaction records, and associate payments with your account or invoices.

3. Saving a Payment Method
If you select an option to save your payment method, you authorize the third-party payment processor to securely store or tokenize that payment method and allow the resulting token to be associated with your customer account in WorkHorse.
Saving a payment method:

  • Does not authorize the Merchant to charge it automatically;
  • Does not enroll you in recurring or automatic payments; and
  • Does not authorize any future transaction unless you separately approve that transaction or provide a separate recurring-payment authorization.

You may contact the Merchant to request the removal of a saved payment method. Removal will not affect transactions that have already been submitted for processing.

4. Automatic or Recurring Payments
If the Merchant offers automatic or recurring payments, you must separately agree to the amount or method used to determine the amount, payment frequency, start date, and cancellation terms.
These Terms alone do not constitute authorization for recurring ACH or card payments.

5. Payment Application
Payment information will be transmitted to the Merchant through WorkHorse so the payment can be recorded and applied to the applicable invoice or customer account.
Processing and posting times may vary. Your account may not reflect the payment immediately. You should retain the payment confirmation for your records.
If you believe a payment was applied incorrectly, contact the Merchant shown on the invoice or payment page.

6. Declined or Returned Payments
You remain responsible for amounts that are declined, reversed, disputed, or returned unpaid.
Your Merchant may charge a returned-payment, insufficient-funds, late, or other fee when permitted by your agreement with the Merchant and applicable law. Any such fee is imposed by the Merchant and is separate from these Terms unless expressly displayed and authorized on the payment page.

7. Refunds, Billing Questions, and Disputes
The Merchant is responsible for:

  • The products or services being purchased;
  • The amount and accuracy of its invoices;
  • Payment credits and account balances;
  • Refund and cancellation decisions; and
  • Customer service relating to the underlying transaction.

Questions regarding an invoice, refund, service cancellation, payment amount, or account balance should be directed to the Merchant.
Nothing in these Terms limits any rights you may have under applicable law or your agreement with your bank or card issuer.

8. Security
WorkHorse uses third-party payment processing services designed to support payment-card security requirements. Payment-card and bank-account information may be transmitted directly to or processed by the applicable payment processor.
No internet-based payment system can be guaranteed to be completely secure or continuously available. You are responsible for protecting access to your email, devices, accounts, and payment information.

9. Electronic Records and Communications
You agree that these Terms, payment authorizations, confirmations, notices, and transaction records may be provided electronically.
You should save or print a copy of your payment confirmation and these Terms for your records. You may request additional payment records from the Merchant.

10. Prohibited Use
You may not use the WorkHorse payment service:

  • For unlawful, fraudulent, or unauthorized purposes;
  • With payment information you are not authorized to use;
  • To interfere with or attempt to bypass payment security;
  • To submit false or misleading information; or
  • In a manner that could damage WorkHorse, the Merchant, the payment processor, or another party.

WorkHorse or the Merchant may restrict or reject a transaction when fraud, unauthorized activity, security concerns, legal requirements, or payment-processing restrictions are suspected.

11. Availability and Disclaimer
WorkHorse provides the payment technology used to submit and record transactions. To the extent permitted by law, the payment service is provided on an “as available” basis.
WorkHorse does not guarantee that every payment will be approved, processed without delay, applied immediately, or remain free from interruption or error. WorkHorse is not responsible for the Merchant’s products, services, invoices, refunds, customer relationships, or business practices.

12. Limitation of Liability
To the maximum extent permitted by law, WorkHorse will not be responsible for indirect, incidental, special, consequential, or punitive damages arising from your use of the payment service.
WorkHorse’s responsibility for a payment-processing error caused directly by WorkHorse will not exceed the amount of the affected transaction. This limitation does not apply where liability cannot legally be limited.

13. Changes to These Terms
WorkHorse may update these Terms from time to time. The version displayed when you submit a payment will apply to that transaction.
